What Happens If You File Micro-Entity Accounts Late? Penalties and How to Avoid Them
Missing a filing deadline is one of the most expensive mistakes a small company can make, and it is also one of the most avoidable. Companies House does not accept a busy year, a change of accountant, or a lost password as an excuse, and the penalties start automatically. For a micro-entity, where margins are often tight, a penalty that could have been prevented by a diary reminder is a particularly frustrating cost, so it pays to understand exactly what happens and how to stay ahead of the dates.
The first thing to grasp is that late filing is not a single event with a single consequence. Micro Entity Accounts https://microentityaccounts.co.uk/ helps small companies file on time, and the most important distinction for directors is between the two separate filing systems. Companies House charges an automatic civil penalty for late accounts, while HM Revenue and Customs charges separate penalties for a late Corporation Tax return and interest on tax paid late. You can therefore be penalised twice, by two different bodies, for what feels like one delay, and each penalty grows the longer the delay continues.
The consequences go beyond money. Late accounts are flagged on the public register, and a company that repeatedly files late may be struck off the register, which means it ceases to exist as a legal entity and its assets can pass to the Crown. None of this requires any finding of dishonesty; it follows automatically from missed deadlines. Even a short delay can therefore have a disproportionate effect on a company's standing, and restoring a struck-off company is a slow, costly process that most micro-entities would rather never face.
The official guidance is the best place to check the current rules before you rely on memory. The government page on company filing requirements Companies House filing requirements https://www.gov.uk/running-a-limited-company/company-filing-requirements explains the deadlines, the penalty scale, and the appeal process in plain language. Read it alongside your own company's deadlines, because your accounting reference date determines every date that matters, and a change of year end shifts all of them. If you are unsure of your deadline, check it at Companies House rather than guessing from last year's dates.
